Community Living Hamilton (CLH), a busy and vibrant organization that supports 1,400 adults and children with diverse abilities to thrive in the community, is seeking a volunteer for nomination to the Board of Directors.

ORGANIZATION PROFILE

With 330 employees and 100 volunteers, CLH is the region’s largest service provider for individuals with developmental disabilities such as Down Syndrome and Autism. We are dedicated to helping people achieve their full potential, be included in our community and, ultimately, build great lives – whether it’s living independently or in a group setting, working in competitive employment, or sharing in community activities.

ROLE

We’re looking for a professional who has governance experience in the social services sector and is familiar with the trends that shape it.

The Board of Directors is comprised of members who are not associated with the day-to-day operation of the agency. The board is accountable for corporate governance and oversight. Board members have a fiduciary duty to ensure that they have processes in place to protect the organization’s assets and stakeholder’s investment. This includes the organization’s facilities, equipment, assets, and includes the human capital (people who work for the organization).

The Board’s specific contributions are unique to its trusteeship role and necessary for proper governance and management.

Consequently, the Board shall provide:
The link between the organization and the community at large.
Written governing policies, which, at the broadest levels, address: Ends, Executive Limitations, Governance Process, and the Board-Executive Director Relationships.
The assurance of Agency Ends and the Executive Director performance.
Shall provide leadership in advocating for changes in our Community and in Government legislation to enhance the welfare, health and social functioning of people served by the Agency.
Maintenance of active membership in the Agency.
RESPONSIBILITIES

General duties and responsibilities that the board members adhere to:
Understand and demonstrate a commitment to the organization’s mission and programs.
Keep up to date with issues and trends that affect the organization.
Ensure the organization is complying with all legal and regulatory requirements.
Attend meetings regularly (Evenings on the 3 rd Tuesday of each month).
Prepare for meetings by reading agendas, minutes, reports and other documentation required.
Contribute skills and knowledge by participating actively in meetings and committee work.
Make inquiries when clarification or more information is needed.
Understand and monitor the organization’s financial affairs.
Avoid any potential conflicts of interest.
Understand and maintain confidentiality.
THE DESIRED SKILL SETS

Community Living Hamilton’s board of directors applies a comprehensive succession plan and considers ongoing board composition, its commitment to diversity and skills required to support the organization’s strategy during its nomination process. Based on current composition, including future vacancies as the result of term limits, the Board is seeking a candidate with board governance experience and one or more of the following skill sets:
Legal: Law background with understanding of and ability to apply relevant legislation as it relates to the agency’s mandate and/or related to Canadian labour laws.
Human Resources: Executive or board experience with executive performance management and compensation, pension and benefit plans and risk management.
Finance: CA designation and/or experience with overseeing capital projects and investment strategies as well as financial and operational risk management.
Organization Strategy: Ability to think strategically and to assess strategic opportunities and threats in the context of CLH’s mission and vision; experience with strategic plan development and oversight.
Public Policy, Advocacy and Government Relations: Experience of the workings of government and the development of public policy in different levels of government.
Communications: Background in communications, marketing or public relations including experience in communications planning, strategy and execution.
