JOB SUMMARY

The General Counsel provides economic value to the organization by appropriately structuring transactions, identifying and mitigating risks, minimizing regulatory and judicial disruptions, and increasing informed decision-making and operational efficiency.

 

The General Counsel is responsible for oversight of the legal, risk, compliance, and internal audit functions at Children’s Healthcare of Atlanta.

  • The legal function handles governance, transaction and contract negotiation, regulatory guidance, and privileged investigations.
  • The compliance group is responsible for privacy issues, compliance monitoring, investigations and education.
  • The internal audit function is tasked with executing planned and ad hoc audits and developing remediation plans.
  • The risk area is responsible for clinical risk management, patient grievances, insurance, and claims resolution.

 

The ideal candidate will be a strong leader with in-house healthcare experience and an extensive regulatory background. Most legal work is handled in-house except for issues that are complex and require unique expertise.

 

The General Counsel leads a team of 50 professionals including attorneys, paralegals, nurses, and accountants. The General Counsel reports directly to the Chief Administrative Officer and has unfettered access to the CEO and Executive Team. The General Counsel also serves as staff to the Audit & Compliance Committee and has unfettered access to the chair and committee.

JOB RESPONSIBILITIES*
  1. Advise executive, senior management and board on various matters such as legal rights and new and existing laws.
  2. Manage governance for Children’s and its subsidiaries including, but not limiting to, being knowledgeable about governance best practices for non-profits.
  3. Draft and maintain Corporate Documents for Children’s and each of its subsidiaries (e.g., Articles, Bylaws, Charters).
  4. Serve as Corporate Secretary and files all necessary Federal and State annual reports, and drafts Resolutions, Written Consents, Motions and Secretary Certificates.
  5. Interpret Corporate Documents and recommend Best Practices.
  6. Provide guidance on federal and state health care laws and regulations, such as Stark, Anti-Kickback, False Claims Act, Medicaid regulations, Privacy and Cyber-security, CARES Act, Cures Act, Certificate of Need facility regulations, Antitrust, EMTALA, and 990 and Bond Compliance.
  7. Provide Legal counsel to and work with Children’s stakeholders on legal, strategic and regulatory matters.
  8. Participate on major deal and transaction teams, providing legal counsel in complex business transactions.
  9. Oversee the review of all contracts for Children’s and its subsidiary organizations and maintain executed agreements in a repository.
  10. Oversee real estate and construction matters, including the construction of and transition into the new Hospital on the North Druid Hills campus.
  11. Provide Legal oversight and guidance for payor agreements and related investigations.
  12. Oversee all litigation for Children’s and its subsidiaries, including, but not limited to, medical malpractice, Equal Employment Opportunity, managed care and business litigation.
  13. Provide oversight for the Compliance, Internal Audit and Risk programs including the newly developed Enterprise Risk Program.
  14. Oversee and provide guidance on obtaining and maintaining appropriate levels of insurance for the organization.
  15. Provide guidance on the legal issues associated with providing clinical care, respond to all inquiries from the Joint Commission and State licensing Boards, and review all State mandated reporting and formal patient disclosures.
  16. Provide guidance on federal and state laws relating to intellectual property, and the best ways to identify, disclose, protect and commercialize intellectual property rights, whether by trade secret protection, copyright, trademark or service mark designation or by obtaining patent rights.
  17. Partner effectively with Clinical, Administrative and Physician leadership to develop win-win legal solutions for complex business situations and challenges.
  18. Develop regulatory and legal strategy with processes and monitoring systems.
  19. Oversee all corporate investigations, under privilege where necessary.
  20. Efficiently use budgeted resources to minimize expense while reducing risk.
  21. Understand and develop strong relationships with Emory and Georgia Tech.
EXPERIENCE*
  • 10+ years as in-house General Counsel or 15+ years in a law firm, with 5+ years in-house.
  • Experience in the health care industry with deep understanding of Stark, Antitrust, Anti-Kickback, False Claims Act, and billing & claims.
  • Experience with corporate governance issues and corporate secretarial duties.
  • Experience with managing large teams, with the ability to engage and retain members. 
EDUCATION

Juris Doctor degree from accredited, top-tier law school.

SYSTEM RESPONSIBILITIES*

 

Safety: Practices proper safety techniques in accordance with hospital and departmental policies and procedures. Responsible for the reporting of employee/patient/visitor injuries or accidents, or other safety issues to the supervisor and in the occurrence notification system.

 

Compliance: Monitors and ensures compliance with all regulatory requirements, organizational standards, and policies and procedures related to area of responsibility. Identifies potential risk areas within area of responsibility and supports problem resolution process. Maintains records of compliance activities and reports compliance activities to the Compliance Office.
