Stock Plan & Executive Compensation Plan Manager

(This is a “Growth Series” position. Person hired will be placed in the appropriate title/grade level reflecting experience, skill, and knowledge as determined by interview/hiring process.)

Responsible for the analysis and administration of PSEG’s stock compensation programs, including the Long Term Incentive Program, Employee Stock Purchase Plan, and Deferred Compensation Plans for officers and directors. Manage third-party vendors. Support the design, development, implementation and administration of LTIP components including primarily Restricted Stock, and Performance Shares but could also include Stock Options.  Partner with internal departments with regard to coordinating tax impact of awards, fulfillment of internal and external reporting and recordkeeping requirements, and 10b-5-1 sale elections. 

Coordinate and provide information in support of 10-K and Proxy filings, including the Proxy’s CD&A and Compensation Tables, coordinating requests to third parties for data to support filings, and coordinating responses from other internal departments for data requests.

Develop, implement and maintain guidelines and processes for the administration of the Stock Ownership and Retention Policy.  Communicate requirements and holdings to impacted officers.

Administer the Deferred Compensation Plans, including providing election information to eligible participants, notifying Payroll and third parties of elections, quarterly reconciliations, and coordinating distribution payments for terminated participants according to elections.

Develop and distribute statements for members of the Board of Directors showing a consolidated view of each member’s Deferred and Equity Compensation.

Ensure Sarbanes-Oxley compliance, implementing controls as required.

May participate in the design and analyses of executive compensation programs, including consultation with HR client consultants and executives.

Conduct executive salary surveys and other benchmarking.

Build and maintain strong and effective working relationships with HR client consultants, Treasury, Finance, Legal, Tax, Payroll and Benefits.


Bachelor’s degree required;

7 years of experience (for GL 28) / 9 years of experience (for GL 29) in equity plan management, including experience with public companies, handling daily operations, reporting, audit, reconciliation, and participant customer service;

Understanding of databases and data file structures; strong computer literacy skills.

Experience with third-party vendor management and interaction (background working for or with an outsourcing vendor preferred).


Ability to interact and speak to executive level management and provide explanations, clarifications and intelligence with respect to their equity awards and deferred compensation. 

Attention to detail, strong organizational skills, and ability to multi-task in a fast-paced environment.

Excellent written and verbal communications, ability to work with different departments and third-party resources to achieve mutual goals.


7 – 9  years executive compensation experience

Certified Equity Professional designation (CEP)

Experience preparing proxy tables and other SEC filings.
