Corporate Secretarial Support Officer – Entity Compliance and Governance
The opportunity
The EY Entity Compliance and Governance (ECG) team assists client legal departments with designing, implementing, and operating entity compliance and governance systems. The team ensures clients meet legislative and regulatory requirements and provides legal and administrative support and guidance to clients' boards of directors.
This role is based in one of our offices in Meanjin – Brisbane, Naarm – Melbourne or Warrang – Sydney. Our roles can potentially be adjusted to work flexibly with reduced hours. Please speak with us about potential options.
Your key responsibilities
- Proactive support to engagement team with management of a portfolio of domestic and global multi-national companies.
- Providing corporate secretarial compliance support to external clients and internal EY stakeholders, ensuring that services are delivered to a high standard and within our commercial operating mode. This includes preparation and completion of statutory forms, minutes and resolutions, supporting legal documents, and lodging documents with ASIC and related regulatory authorities. Developing strong relationships with clients, you will deliver technical support, governance, and best practice advice.
- Providing support to the global Subsidiary Management team, including project management support on large-scale engagements. Applying organizational and project management skills, you will work across multiple projects and clients both independently and as part of a team, collaborating with our global network of resources.
What we look for
- Tertiary qualifications in law, business, or a relevant field such as the Graduate Diploma in Applied Corporate Governance.
- At least 2 years’ experience providing corporate secretarial services in a legal firm, professional services firm, or consulting organization, with a good understanding of the Corporations Act 2001.
- Experience in transactional corporate secretarial support and board support, including attending and minuting meetings, drafting board resolutions, registering new companies and branch offices, and understanding related issues and requirements.
- Experience using Diligent/Blueprint Oneworld, CAS360, GEMS, or similar corporate secretarial database and technology platforms.
