Legal Counsel – Canada




Purpose of the Job


Provide primary legal support to the Canada Country Business in all domains linked to the business activities, including top management, on a broad range of regulatory and commercial matters, and drafting and negotiating complex supply, sourcing and public-private-partnership (PPP) agreements.

Reports directly to the VP Legal & Compliance of the NAM Region.


Network & Links


Internal: peers in the Region and other Regions, contract managers & Regional head of contract management, Tender Leaders, Customer Directors, Project Directors, Management Team of the Region, Regional Compliance Officer & Corporate Legal Department.

External:  Customers, Suppliers, Subcontractors, Consortium partners, Affiliated companies and joint venture companies, Law Firms, Forensic and claims consultants, Auditors.





Responsibilities and Accountabilities


The position covers the following main tasks and missions in all domains linked to the business activities of the Canada Country Business:

-          Providing legal support to projects under execution.

-          Issuing legal analysis, legal assessments and other types of legal advice.

-          Providing legal support on claims and other contentious matters including settlement drafting and negotiation or in-house supervision of litigation & arbitration, including managing and providing support to external legal counsel

-          Promoting and enforcing the application in the Region of the relevant Corporate and Region legal directives and instructions.

-          Ensuring compliance with corporate regulatory filings to do business and maintain appropriate licenses at federal and provincial level

-          Organizing legal reporting and legal KPIs.

-          Organizing legal training.

-          Providing legal support on ethics & compliance matters, including the maintenance of Region compliance with federal and state regulations regarding anti-competition, bribery, export/import and other operationally relevant laws and regulations.

-          Supporting the preparation and negotiation of tenders and contracts with a focus on railway infrastructure projects of particular size and complexity such as Turnkey and PPP projects. In this context, involvement in all types of agreements forming part of the nexus of contracts for such projects (EPC Contracts; Concession Agreements; Supply Agreements; Consortium Agreements; Maintenance & Services Agreements; Financing Agreements; etc.)


The position is part of the NAM Legal & Contract Management department currently composed of around 32 lawyers and contract managers based at various locations in the US and Canada.

Objectives, targets, and performance measurements are defined on a yearly basis in line with the published Group targets, the General Counsel objectives and the specific objectives set by the VP Legal & CM NAM.

Candidate Requirements



Educational Requirements


A Juris Doctor or Bachelor of Laws (LLB.) degree. Must be licensed to practice law in Canada and a lawyer in good standing with a provincial law society, supplemented by a minimum of 7 to 10 years of work experience in the industry or in a law firm.




Behavioural and Technical Skills / Competencies


A self-confident, open-minded, problem-solving, tactful and intellectually flexible transactional lawyer, you have a well-developed ability to understand and handle complex legal and contractual issues and you can demonstrate sound legal and claim management reasoning. Excellent drafting and negotiation skills are among your core assets, along with a pronounced ability to deal with internal and external pressure, especially in a negotiation environment. Willingness to take initiatives, responsibilities and challenge others. Good inter-personal and communications skills.


Previous experience with and knowledge of the US railway industry, including its regulatory frame, is a plus for this position. 


We will appreciate your integrity, sound judgement and assertive personality. You must be fully bilingual (speaking and writing) in French and English.
