Associate Legal Counsel (AME) - DurbanIntroductionOur global client is looking to expand their legal department by recruiting a Associate Legal Counsel who will report directly to the head of legal.  This role's main purpose is to assist the Head of Legal AME to ensure the legality of commercial transactions, advise the company on its legal rights and duties to abide by the laws of the geographies in which it operates and protect the company against any legal risks.  Duties & ResponsibilitiesMain Outputs:Legal Process AdherenceEnsure that the legal department processes are followed including the process for review of agreements, timely coordination and responses in M&A and all transactions, developing and following best practices in the legal department.  Drafting of AgreementsTimely drafting, reviewing and negotiating agreements and timely and accurate response to legal queries by the other departments, reviewing and negotiating commercial documents including shareholders’ agreement, share subscription agreements, joint venture agreements, distribution agreements, employment agreements, contracts, Memorandum of understandings for various purposes, loan agreements, power of attorneys and confidentiality agreements.  Litigation Support and M&A SupportWork with international law firms on a day to day basis on several matters pertaining to the company. Assisting the legal head in all activities that the company is involved in across the regionDesired Experience & QualificationEducations Requirement:Admitted AttorneyBCom Law / LLB  Experience Required:5 – 10 years of experience with a reputable corporate/multinational and/or law firm. Preference experience with a reputable law firm and experience working in Africa.Understanding of Litigation processesCompany secretarial experience in South Africa and in AfricaExperience of drafting and negotiating commercial documentsExperience using a contract lifecycle management software systemExperience using Diligent Entities or software system for management of corporate information
