ChannelAdvisor is looking for a smart, enthusiastic, detail-oriented, organized, full-time Corporate Administrator specializing in Legal Operations and Paralegal duties to join our in-house legal team working with our attorneys and contract administrators on all legal work. This professional will support domestic and international (Europe, Asia-Pacific and Latin America) sales, procurement, and corporate legal services.


Primary responsibilities include working with our supervising attorneys to:

  • Support procurement agreement program, drafting, negotiating and arranging for execution of procurement and nondisclosure agreements
  • Support sales and business development (strategic partner) teams, drafting, negotiating and arranging for execution of agreements, particularly during times of heavy volume
  • Identify and implement opportunities to improve processes, team efficiency, organization, and communication;
  • Development and management of contract processes with a focus on innovative solutions to streamline the contract process; work with internal teams to implement contract management solutions
  • Draft and maintain form contracts
  • Support resolution of customer issues, including customer bankruptcies
  • Support corporate and data privacy filings, including managing external registered agent services, maintaining domestic state and foreign subsidiary registrations, and arranging for apostilles
  • Support Code of Business Conduct and Ethics compliance program
  • Support special projects

Required skills and experience:

  • BS/BA with a minimum of two years of experience as a Paralegal or in Legal Operations or Contract Administration
  • Experience drafting and negotiating global sales and procurement agreements in-house with small privately-held companies to Fortune 500 companies in a fast-paced sales-driven environment; experience with SaaS and/or technology agreements preferred
  • Excellent contract drafting skills, including the ability to draft original language for inclusion in negotiated agreements
  • Technical and project management skills strongly preferred, including experience with integration and maintenance of contract management applications to support contract operations, and optimization of contract processes using automated tools
  • Ability to appropriately balance legal and business considerations and conflicts while meeting short turnaround cycles, calm and confident under pressure
  • Excellent written and oral communication skills, including ability to advise clients clearly and succinctly, effectively communicate and work across functional areas to achieve results
  • Experience with agreements governed under international laws and experience working with international co-workers, customers, and outside counsel; foreign language ability a plus
  • Experience with SalesForce, Drawloop, and Docusign preferred
  • Excellent organizational, multitasking, writing, recordkeeping, and record retention skills; attention to detail
  • Availability for international conference calls and occasional travel
  • Exemplary personal and professional integrity and business ethics
  • Practical, business-minded, flexible, motivated self-starter who works well as part of a team and has a positive attitude and sound judgment focused on responsiveness and providing superlative legal services under the supervision of attorneys
