Job Description

Corporate Securities & Public Company Attorney SVB Financial Group and its subsidiaries, including its principal banking subsidiary, Silicon Valley Bank provides financial and banking services to companies in technology-related, life science/healthcare, private equity/venture capital and premium wine industries. Along with commercial banking products and services provided by Silicon Valley Bank, we offer asset management, private wealth management and other investment services. We also offer investment banking services and non-banking products and services, such as funds management, M&A advisory services, venture capital and private equity investment, through our other subsidiaries and divisions. In addition, we focus on cultivating strong relationships with firms within the private equity and venture capital community worldwide.

SVB is currently seeking candidates for the position of Senior Counsel (or other title depending on experience) to advise on corporate securities and general public company compliance work. The successful candidate must have strong public company experience and knowledge of applicable laws and regulations, including applicable SEC rules and regulations and NASDAQ listing standards. Experience working with or for a bank holding company or other regulated business is preferred. SVB is headquartered in the Bay Area in Santa Clara, California. This position may be based in any of the following key SVB office locations: California (Santa Clara, San Francisco or Palo Alto); New York (New York City); Arizona (Tempe); Colorado (Denver) or other location near an SVB U.S. office. The position will report to the Deputy General Counsel.

Responsibilities:

- Advise on public company and corporate securities law matters and related compliance, including SEC reporting, NASDAQ compliance, and public disclosures;

- Work closely with the Finance and Investor Relations team on financial reporting and disclosures, including earnings releases, Form 10-Q and 10-K reports and investor or credit rating agency presentations;

- Provide legal support for capital markets and capital raise transactions, including deal execution;

- Provide legal support for public disclosures, including Form 8-K reports;

- Communicate with and/or advise the CEO, CFO, General Counsel and the Audit Committee on securities-related matters;

- Provide legal and governance support for the Audit Committee of the Board of Directors;

- Assist with other financial disclosures required under applicable bank regulatory or other requirements;

- Advise on securities-related matters in connection with equity incentive, deferred compensation and other compensation plans; and

- Assist with M&A transactions and bank regulatory matters, as needed.

Skills/Qualifications:

- 10+ years of experience (either in-house or law firm)

- Superior writing and verbal communication and presentation skills

- Strong strategic thinking and commercial and legal judgment; ability to apply legal knowledge towards practical business solutions

- Hard working, well organized and able to prioritize and manage numerous projects simultaneously under deadline pressures

- Willingness to work on a broad range of legal matters/topics and to learn new areas; strong growth mindset

- Excellent interpersonal skills, including the ability to team up and build relationships with others

- Inquisitive nature; keen desire to learn about our business and to help find innovative, commercial and creative solutions as we grow as a company

- Ability to manage outside counsel effectively

- J.D. from a top tier school and excellent academic credentials

- Active membership in good standing in at least one state bar, preferably California or New York
