Join our team as the Corporate Governance Lead and help provide support and guidance on matters regarding corporate governance and/or corporate compliance to ensure business is conducted in compliance with legal and regulatory requirements and enables sustained growth.

Here is what you’ll do:

  • Prepare various reports for compliance and the Board of Directors and shareholders, as well as filings required by the Securities and Exchange Commission (SEC) and New York Stock Exchange (NYSE) as applicable.

  • Support the Company’s commitment to compliance by responding to alleged violations, assisting with policy development and maintenance, providing compliance training, and monitoring and coordinating compliance activities.

  • Corporate Governance / Securities: (a) assist with preparation and file Form 8-Ks, (b) assist with preparation of the Company’s annual proxy statement (including managing Director and Officer Questionnaire process) and manage the distribution of the proxy and annual report materials to the Company’s shareholders; (c) prepare and file Section 16 reports; (d) track board equity compensation; (e) prepare and file affirmations and other NYSE filings; (f) assist with the preparation of materials for, and coordination of, Board Meetings; (g) assist with the closing of equity and debt financings; (h) assist with preparation of minutes for HDI and subsidiary board meetings; (i) organize corporate minute books; (j) coordinate annual corporate filings and certain business filings; (k) coordinate HOG trading preclearance process; (l) prepare corporate governance/regulatory reports for inclusion in the quarterly report to the Company’s Audit Committee of the Board of Directors; (m) assist with management of documents relating to various Company transactions (e.g., preparation of due diligence summaries, disclosure schedules, closing binders, etc.); (n) coordinate intercompany agreements.

Education Required
Bachelors degree preferred. Paralegal certificate strongly considered.

Experience Required

Typically requires a minimum of 8 years of related experience in legal, corporate governance and/or compliance-related experience, in addition to the following:

  • Corporate governance experience highly preferred.

  • Proven ability to prioritize, organize and implement multiple complex projects.

  • Exposure to sensitive information requires confidentiality and use of discretion.

  • Paralegal or Corporate governance analyst experience.
